Jay Kotzker is a Managing Partner and the Chief Legal Officer of Holon Law Partners, where he also Chairs the firm’s Corporate Transactions Group. With over two decades of legal experience, Jay focuses his practice on helping companies—particularly in the consumer goods sector—build, monetize, and protect their brands while navigating complex corporate transactions.
Jay represents both buyers and sellers in a wide range of deals, including asset purchases, stock transactions, profits interest agreements, investment deals, and partnership and M&A transactions. His clients range from emerging businesses to established national brands, and he regularly provides strategic counsel on deal structure, risk mitigation, and growth strategies.
As a trusted advisor to brand-driven companies, Jay advises on intellectual property development, licensing, and commercialization, as well as entity formation, contract negotiation, and overall business strategy. His IP work spans trademark and copyright law, with experience in domestic and international trademark prosecution, brand enforcement, and global portfolio management.
While his broader practice now focuses on general corporate and brand strategy, Jay continues to counsel clients in the regulated cannabis space, drawing on years of hands-on experience as general counsel to two multi-state operators. His cannabis practice includes licensing, compliance, operational strategy, and regulatory engagement at the state and local levels.
Jay’s contract experience includes vendor agreements, licensing deals, SaaS agreements, privacy policies, EULAs, and a variety of commercial and partnership arrangements. He also brings a strong background in regulatory compliance, risk management, dispute resolution, and government agency interfacing, including work with the NLRB, OSHA, and state-level regulatory agencies.
Jay lives in Colorado with his wife and three children.
